3 C 1. Dongfang Investment Development Merger Agreement Upon the approval of respective shareholders of Dongfang Turbine Company and Dongfang Investment Development, Dongfang Turbine Company will absorb and merge with Dongfang Investment Development in accordance with the business combination under the same control of the group. The principal terms of the Dongfang Investment Development Merger Agreement are set out below: Date:

2018 Parties: (1) Dongfang Turbine Company;

and (2) Dongfang Investment Development. Merger: Dongfang Turbine Company adopts the method of absorption and merger to merge with Dongfang Investment Development. After the Completion of Merger, Dongfang Investment Development will be absorbed and merged with Dongfang Turbine Company, Dongfang Turbine Company will continue to survive and Dongfang Investment Development will be dissolved according to the law. The status of Dongfang Turbine Company as an independent civil legal entity and its powers and rights entitled to shall not be affected by the Merger. From the completion of Merger, employees of Dongfang Turbine Company shall become employees of the surviving company. The powers and rights entitled to Dongfang Investment Development as an independent civil legal entity, will be incorporated into Dongfang Turbine Company on the Completion of Merger. Accordingly, Dongfang Turbine Company will receive all rights in respect of this matter. Employees of Dongfang Investment Development shall immediately become employees of the surviving company on the Completion of Merger. After signing the Dongfang Investment Development Merger Agreement, Dongfang Investment Development will transfer all assets and related documents to Dongfang Turbine Company at the request of Dongfang Turbine Company.
