一、基金概况 Overview 2010年11月13日,温家宝总理在中葡论坛第三届部长级 会议上宣布, 为促进中国与葡语国家间的金融合作,中国 内地和澳门的金融机构将发起设立规模为10亿美元的中葡合 作发展基金.

In order to bring the economic cooperation to a larger scale, wider range and higher level, the Chinese government initiate six policy measures, the first of which is to establish a China- Portuguese Speaking Countries Cooperation and Development Fund with a total amount US$1 billion. 2013年6月26日,中葡合作发展基金正式设立. In June26th, 2013, China-Portuguese Speaking Countries Cooperation and Development Fund is established. China-Africa Cooperation and Development Fund is mandated as management team.

(一)投资区域 Investment Countries 中葡合作发展基金 p11 重点投资交通、电信等基础设施、农业、制造业、能源和自然资源 等领域.

1 不从事房地产、担保业务和成员国禁止的投资.

2 结合成员国自然禀赋特点、政府鼓励外国投资进入的行业领域自主 选择投资项目.

二、投资要求

(二)投资领域 Investment Fields Infrastructure 、 agriculture 、 manufacturing 、 energy and mining are major investment sectors. Real estate、guarantee business or engage in any investment projects are prohibited by the member states. CPDFund directly invests in or purchases shares of the business or projects of the member states. 3. 中葡基金与国际金融机构联合投资成员国企 业或项目. CPDFund and international financial institutions jointly invest in the business or projects of member states.

(四)投资方式 Investment Models p13 1. 股权投资 Equity 直接以普通股方式投资企业或项目. Investment in companies or projects via common shares. 2. 准股权投资 Quasi-equity 优先股、混合资本工具、可转债等形 式. Preferred stock, hybrid capital instruments and convertible bonds.

二、投资要求 中葡合作发展基金 p14 Wanbao Agriculture Park Project in Mozambique 中葡基金拟与万宝粮油、中非基金在莫桑比克共同投资建设粮食作物种植、加工、仓储和销售为 一体的综合产业化项目.项目总投资1.97亿美元,中葡基金持股9%,出资1065万美元,已全部到位. Cooperation with Wanbao Cereal &

Oil Co. ,CAD Fund and CPD Fund. The joint-venture set up an agricultural park in Mozambique covering plantation, processing, storing and sales targetin g at the Mozambique and neighboring countries.
