西安海天天实业股份有限公司XI'AN HAITIANTIAN HOLDINGS CO., LTD.* (a joint stock limited company incorporated in the People's Republic of China with limited liability) (Stock Code: 8227) INSIDE INFORMATION - COOPERATION AGREEMENT WITH XIDIAN UNIVERSITY* This announcement is made by Xi'an Haitiantian Holdings Co., Ltd.* (the "Company") pursuant to Inside Information Provisions under Part XIVA of the Securities and Futures Ordinance (Cap. 571, Laws of Hong Kong) and Rule 17.10 of the Rules Governing the Listing of Securities on the GEM (the "GEM") of The Stock Exchange of Hong Kong Limited (the "GEM Listing Rules"). The board (the "Board") of directors (the "Directors") of the Company is pleased to announce that the Company entered into a cooperation agreement on

2018 with Xidian University* (西安电子科 技大学) to jointly build a Millimetre Wave Circuit and System Xi'an Engineering Technology Centre* (毫 米波电路与系统西安市工程技术中心) for

5 years (the "Cooperation Agreement"). Pursuant to the Cooperation Agreement, Xidian University is responsible for formulating research directions and specific contents, and the Company is responsible for the program discussion and process coordination of relevant research projects, combining product research and development of the Company, and proposing research topics to realise productization of research results. A separate agreement will be signed for relevant research and development funds and research result ownership of each research topic. The Board considers that the combination of years of accumulated technologies of Xidian University and years of experience of research and development in the mobile communication industry, and research result productization and marketisation of the Company, will further enhance the product research and development capabilities and accelerate the communications business development of the Company. INFORMATION ON XIDIAN UNIVERSITY Xidian University consists of

9 national and

34 provincial key disciplines with

14 doctoral programs,

26 master programs,

9 centres for post-doctoral studies and

55 bachelor programs. There are

6 national key laboratories and research centres,

1 key laboratory of the Science and Technology Bureau,

9 key laboratories and research centres of the Ministry of Education, and

21 provincial and ministerial key laboratories and research centres. -

2 - In the evaluation of the Fourth China University Subject Rankings released in 2017, Xidian University obtained grade A+ for Electronic Science and Technology which tied the first in China with another university, grade A for Information and Communication Engineering and grade A- for Computer Science and Technology. Xidian University is at the leading level in the domestic electronic information field. The Company will make further announcement regarding the Cooperation Agreement as and when appropriate.
