2 Client Account Agreement 客户帐户协议 Safe Gold International (Belize) Limited CLIENT ACCOUNT AGREEMENT 客户帐户协议 THIS AGREEMENT ( Agreement ) is a legal contract 本协议 (以下简称「本协议」)为法律效力的合约 BETWEEN: 订立双方为: (1) Safe Gold International (Belize) Limited (the SGFX ) whose office is situated at No.5 Cork Street, P.O Box 1708, Belize City, Belize ;

and 订约方的一为鼎展国际(伯利兹)有限SGFX (以下简称「SGFX」),其办事处位於No.5 Cork Street, P.O Box 1708, Belize City, Belize;

及(2) The party whose name, address and description are set out in the Client'

s Information Statement hereto (the Client ) of the other part. 另一订约方(以下简称「客户」)的名称、地址及描述已於本协议的客户资料表内列出. WHEREAS: 鉴於U (A) The Client has requested and authorized SGFX to open and maintain the Margin Trading Account for the purpose of entering into CFDs and effecting Spot Transactions, the CFDs include (but not limited to) spot precious metal, spot forex, spot fablious metal, spot energies and spot indicies. SGFX has agreed to open and maintain the Margin Trading Account for such purpose. 客户要求SGFX为客户开设及维持保证金交易户口以订立差价合约及进行现货交易,当中现货交易商品包括(但不限於)现货贵金属、现货外 汇、现货工业金属、现货能源及现货指数.而SGFX亦同意为客户开设及维持保证金交易户口,并以客户的代理人身份处理上述事宜. (B) The parties have agreed that the above services will be provided on the terms set out in this Agreement 订约双方同意按本协议中的条款及守则提供上述服务. UPON COMPLETED THE APPLICATION TO OPEN AN INDIVIDUAL/CORPORATE TRADING ACCOUNT, BOTH PARTY ARE HEREBY AGREED as follows: 当完成开立个人/ SGFX交易帐号后,代表双方同意本协议的如下协定U DEFINITIONS AND INTERPRETATION 定义及诠释 1. In this Agreement, the following expressions used, unless the context requires otherwise, shall have the following meanings : 在本协议中,除文章内容另有所规定的外,以下词句的定义如下U Abnormal Transactions means the trading method, devices, means, pattern or manner adopted by the Client resulting in such transaction or series of transactions which, in the sole opinion and judgment of SGFX without the need to first consult the opinion of the Client, affects or has affected the system stability and order, and/or market risk of SGFX;

notwithstanding anything stated in this Agreement to the contrary, SGFX shall have the sole, exclusive and absolute right to consider or determine which transaction or series of transactions whether conducted, controlled or produced by the Client or not in relation to this Agreement can be categorized as or deemed to be the Abnormal Transactions as defined herein, and any investigation conducted or decision concluded by SGFX in respect of any and all Abnormal Transactions whether conducted, controlled or processed by the Client under this Agreement shall be final and conclusive, by which the Client must abide and cannot object, challenge or question in any circumstances;

「异常交易」 是指就客户所采用的交易方法、工具、模式、方式而产生的交易或一连串的交易,SGFX有权在无须事 前徵询客户的意见下, 独自认为和裁定该等交易或一连串的交易,影响或已经影响了SGFX系统的稳定 性及秩序、和/或市场风险;

尽管本协议其他的条文另有规定,SGFX拥有独自、独家及绝对的权力去考 虑或裁定那些交易或那些连串的交易,不管是否由客户根拘橄钕滤小⒉倏鼗虼淼,能否 归类为或可被视作为本协议定义下的「异常交易」,SGFX对客户根拘橄钕虏娜魏位蛩械 异常交易所进行的任何调查工作或作出的裁决均为最终和最后的,在任何情况下,客户必须绝对服从、 不得反对、挑战或作出任何提问;
